General conditions.

1. General

1.1 Definition of terms: Company: The Other Perspective B.V., established in The Hague. Clients: individuals, companies or institutions for whom The Other Perspective will carry out a consultancy assignment.

1.2 Applicability:

  • These General Terms and Conditions form part of the agreement between The Other Perspective and its clients.
  • Available free of charge on request.
  • Apply to all offers, activities, quotations and agreements for (organizational) consultancy.
  • Deviations only valid if explicitly agreed in writing.
  • Applicability of the client's terms and conditions is explicitly rejected.

2. Basis of quotations

Based on information provided by the client, who guarantees having supplied all essential information. The Other Perspective performs advisory services to the best of its knowledge and ability (best-efforts obligation, result not guaranteed).

3. Provision of information, employees and working space by the client

Client provides documents and information and, if requested, free workspace with PC, network, phone and data connection.

4. Involvement of third parties

Only after mutual consultation.

5. Change of advisory team

The Other Perspective can change the composition of the advisory team in consultation with the client if necessary, without reducing quality or continuity; this can also happen at the client's request.

6. Rates and costs

  • The quotation indicates whether secretarial costs, travel time, travel and accommodation and other costs are included.
  • Interim wage and cost changes are passed on.
  • The fee excludes interest unless stated otherwise.

7. Terms of payment

  • Invoiced monthly, payable within 14 days.
  • Statutory interest applies after the due date without notice of default.
  • The agency may invoke the uncertainty exception.
  • Collection costs are for the client's account.
  • Joint and several liability applies if there are multiple clients.

8. Changes to the order / additional work

The time schedule may be affected by agreed changes in scope; additional work is confirmed as an additional assignment.

9. Duration and conclusion

  • Duration cannot be guaranteed in advance.
  • Financially concluded once the final invoice is approved (deemed approved after 30 days without response).
  • The client may request an audit by a chartered accountant at their own cost.

10. Premature termination

  • Either party may terminate unilaterally with written reasons.
  • Client termination entitles the agency to payment for contracted hours up to 3 months.
  • The agency may only terminate early due to circumstances beyond its control, retaining the right to payment for work done.
  • Bankruptcy or suspension of payment allows termination without notice period.

11. Intellectual property

  • Communication plans, models, techniques, instruments and means used remain property of The Other Perspective.
  • Disclosure only with permission.
  • The client may reproduce them for own organisational use within the assignment's purpose.

12. Confidentiality

The Other Perspective keeps client information confidential from third parties and takes precautions to protect client interests; the client may not disclose the agency's methods, models or techniques without permission.

13. Liability

  • Liable for shortcomings resulting from failure to exercise due care, expertise or professionalism.
  • Liability limited to the fee received for that assignment; for assignments over 6 months, limited to the last six months' invoiced amount.
  • Claims must be submitted within one year of discovering the damage.

14. Applicable law

Dutch law exclusively.

15. Settlement of disputes

The competent court is the court with jurisdiction in The Hague region; collection costs are for the client, minimum 10% of the amount owed, at least €100.

16. Privacy statement

  • The agency records name, (email) address and phone number in an automated database.
  • These are used for executing agreements and to inform the client of interesting information and offers.
  • The agency may analyse data to tailor information and offers.
  • Personal data is not shared with third parties.
  • The client can request, correct or delete their data.
